1. Acceptance of Terms
By clicking "I Accept," creating an account, making a booking, or otherwise accessing or using the Vocally Global platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately cease all use of the Platform and delete your account.
These Terms constitute a legally binding agreement between you and Vocally Global Inc. ("Vocally Global," "we," "us," or "our"), a corporation incorporated in Canada.
We may update these Terms from time to time. We will notify you of material changes by email or prominent in-app notice at least 30 days before the changes take effect. Your continued use of the Platform after the effective date means the updated Terms apply to your use of the Platform. Where required by law, we will request your consent for material changes.
2. Description of Service
Vocally Global is an online marketplace platform that connects students and learners with independent tutors, coaches, and instructors offering a range of services including language instruction, communication coaching, interview preparation, business communication, personal development coaching, mindfulness-based communication support, guided meditation, and other approved services.
We provide the technology, tools, payment processing, booking infrastructure, and marketplace support needed to facilitate lessons and sessions between users.
Tutors and coaches are independent contractors and not employees, agents, or representatives of Vocally Global. Vocally Global is not the provider of the tutoring, coaching, or instructional services offered by Tutors. Each Tutor is responsible for the services they provide. Vocally's role is to operate the Platform, process payments, apply platform policies, and support bookings between Students and Tutors. We do not guarantee the quality, outcome, or suitability of any lesson or session.
Tutors are required to complete identity and tax verification before offering paid lessons or receiving payouts through the Platform. This verification is processed through our third-party provider, such as Stripe or another approved provider. Vocally receives verification status only and does not store full identity documents on its own servers.
Each Tutor is solely responsible for the content and quality of their lessons, compliance with all applicable laws in the jurisdictions where they offer services, and all interactions with Students.
Services offered through the Platform are for educational, coaching, communication, language learning, personal development, or general wellness purposes only. Unless a Tutor is properly licensed and legally permitted to do so in the relevant jurisdiction, Tutors must not provide medical advice, psychotherapy, psychological treatment, legal advice, financial advice, immigration advice, or any other regulated professional service through the Platform. Vocally does not guarantee any specific outcome, including language fluency, job offers, interview results, income, healing, personal transformation, or professional advancement.
3. User Accounts
You must create an account to access certain features of the Platform. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Students aged 13 and older may use the Platform. Students under 18 may use the Platform only with the consent and supervision of a parent or legal guardian, where required by applicable law. Where a parent or guardian creates and manages the account on behalf of a minor, they represent that they have the authority to do so and consent to these Terms on behalf of the minor.
The Platform is not directed to children under 13. If you believe a child under 13 has created an account independently, please contact us at support@vocallyglobal.com.
Tutors must be at least 18 years of age. We reserve the right to require identity or age verification at any time and to suspend or terminate accounts that do not meet eligibility requirements.
4. Booking, Payments, and Fees
All lesson bookings create a direct agreement solely between the Student and the Tutor. Vocally Global processes payments as a limited payment agent for Tutors and applies a platform service fee (also referred to as a commission) clearly disclosed during the booking process.
Vocally applies a tiered service fee to standard lessons based on each Tutor's total completed teaching hours, ranging from 25% for new Tutors down to 15% for experienced Tutors. Trial lesson fees are split 50/50 between the Tutor and Vocally. Creating a Tutor profile is free; there are no subscription or listing fees. By using our payment services, you authorize Vocally Global and our payment processors, such as Stripe or another approved provider, to charge your chosen payment method.
A lesson is considered booked once payment is successfully processed and the booking is confirmed through the Platform. You agree to honor all bookings and payments made through the Platform. Cancellations, no-shows, and refunds are governed by Section 5 of these Terms.
5. Cancellations, No-Shows, Credits, and Refunds
5.1 General Principle
Vocally is committed to fair and transparent booking rules for both Students and Tutors. Students should have a reasonable opportunity to reschedule when plans change. Tutors should be protected from last-minute cancellations, missed lessons, and unpaid time.
5.2 Student Cancellations
Students may cancel a lesson on their own, without penalty and with a full refund, if they do so at least 12 hours before the scheduled lesson start time. This notice period is displayed on the Platform and may be updated there.
Inside that notice period a Student can no longer cancel unilaterally. The Student may instead ask the Tutor to reschedule, giving a reason, and the Tutor decides whether to accept. If the Tutor accepts, the lesson moves to the agreed time and no refund is issued. If the Tutor declines, or the Student simply does not attend, the lesson is treated as completed for payment purposes and the Tutor receives the applicable payout under the service fee and trial lesson rules.
5.3 Tutor Cancellations
Tutors are expected to attend all confirmed lessons.
If a Tutor cancels a confirmed lesson, the Student is made whole automatically. Where the lesson was paid for individually, the amount paid is refunded to the original payment method. Where the lesson was drawn from a lesson package or a subscription, the lesson credit is returned to that package or subscription and remains available to rebook with the same Tutor. Vocally does not operate a general account balance usable with any Tutor.
Repeated Tutor cancellations may result in account review, reduced visibility, temporary suspension, or removal from the Platform.
5.4 Student No-Shows
A Student is considered a no-show if they do not attend a scheduled lesson and did not cancel at least 12 hours in advance or agree a new time with the Tutor.
If a Student is a no-show, the lesson is considered completed for payment purposes. The Tutor will receive their payout for the lesson, less the applicable service fee. No refund or credit will be issued to the Student.
Tutors should remain available in the lesson room for a reasonable waiting period as determined by the Platform guidelines.
5.5 Tutor No-Shows
A Tutor is considered a no-show if they do not attend a scheduled lesson and did not cancel or reschedule in accordance with these Terms.
If a Tutor is a no-show, the Student is made whole on the same basis as a Tutor cancellation under section 5.3: a refund to the original payment method for an individually paid lesson, or the lesson credit returned to the package or subscription it came from. The Tutor receives no payout for a lesson they did not attend.
Tutor no-shows may result in a warning, account review, temporary suspension, or removal from the Platform.
5.6 Late Arrival
If a Student arrives late, the Tutor is not required to extend the lesson beyond the scheduled end time.
If a Tutor arrives late, the Tutor should make reasonable efforts to provide the full scheduled lesson time, reschedule the missed time, or allow Vocally to issue an appropriate credit or adjustment to the Student.
5.7 Trial Lessons
Trial lessons are paid lessons. Students may book available trial lesson lengths offered by a Tutor, such as 25-minute or 50-minute trial lessons.
Trial lesson fees are split 50/50. The Tutor and Vocally each receive 50% of the amount paid for the trial lesson.
Trial lessons are subject to the same cancellation and no-show rules as standard lessons.
If a Student is dissatisfied with a trial lesson, they may contact Vocally support. Vocally may, entirely at its discretion, offer a credit or another appropriate solution. There is no automatic entitlement to a replacement trial lesson or refund based on dissatisfaction alone.
5.8 Lesson Packages
Students may purchase lesson packages where available. Package rules, expiry dates, included lesson amounts, refund eligibility, and cancellation terms will be displayed at the time of purchase or in the Student account.
Unused package lessons may be eligible for credit, rescheduling, or refund only as described at the time of purchase, as required by applicable law, or as approved by Vocally. Individual lessons within a package are subject to the same cancellation and no-show rules as single lesson bookings.
5.9 Refunds
A Student who wishes to report a problem with a lesson must do so within 7 days of that lesson's scheduled end time. This reporting period is displayed on the Platform and may be updated there. Reports made after it may still be considered at Vocally's discretion, and nothing in this section limits any refund a Student is entitled to under applicable law or through their payment provider.
The reporting period exists so that the amount owed to a Tutor for a lesson is settled while it can still be adjusted: Tutor payouts are held for a period covering it, as described in the Tutor Agreement & Policy.
Outside the automatic cases described in this section, refunds are not automatic unless required by applicable law. Vocally may review refund requests on a case-by-case basis.
Refunds or credits may be considered where:
- A Tutor cancels or does not attend a confirmed lesson;
- A technical issue caused by the Platform prevents the lesson from taking place;
- A duplicate payment or billing error occurred;
- A Student was charged incorrectly;
- Vocally determines that a refund, credit, or replacement lesson is appropriate in the circumstances.
Refunds will not be issued where:
- The Student did not attend the lesson;
- The Student cancelled inside the 12-hour notice period without the Tutor agreeing to a new time;
- The Student changed their mind after the lesson occurred;
- The Student did not attend due to personal scheduling issues;
- The Student violated platform rules;
- The refund request is abusive, fraudulent, excessive, or inconsistent with these Terms.
5.10 Lesson Credits
A lesson credit is one prepaid lesson inside a package or subscription with a specific Tutor. When a lesson paid with a credit is cancelled or refunded, the credit is returned to that package or subscription and can be used to rebook with the same Tutor, subject to any expiry date displayed at the time of purchase.
Lesson credits are not a cash balance, are not transferable between Tutors, and have no cash value unless required by applicable law. Vocally does not issue general account credit in place of a refund owed to a Student.
5.11 Technical Issues
Students and Tutors are responsible for having a stable internet connection, working device, camera, microphone, and appropriate lesson environment.
If a technical issue is caused by the Student's device, connection, settings, or failure to join, the lesson may not be eligible for a refund or credit.
If a technical issue is caused by the Tutor and prevents the lesson from taking place, Vocally may offer a reschedule, credit, or refund. If a technical issue is caused by the Platform and prevents the lesson from taking place, Vocally will offer a reschedule, credit, or refund.
5.12 Disputes and Chargebacks
Students and Tutors should report lesson issues promptly through the Platform or by contacting support. Vocally may review messages, booking records, attendance logs, technical logs, payment records, and other relevant information to assess disputes.
Vocally may decide, at its discretion and subject to applicable law, whether to issue a refund, credit, payout adjustment, replacement lesson, warning, suspension, or other resolution.
Students should contact Vocally support before initiating a chargeback or payment dispute with their bank or payment provider. If a payment is reversed, disputed, refunded, or charged back, Vocally may adjust Tutor payouts, suspend account access, or take steps to recover amounts owed, where permitted by applicable law. Fraudulent chargebacks or payment abuse may result in account termination.
5.13 Tutor Payout Adjustments
Tutor payouts may be adjusted, withheld, reversed, or delayed where necessary due to refunds or credits issued to Students, chargebacks or payment processor disputes, payment processor delays, fraud review, identity or tax verification issues, Tutor cancellation or no-show, failure to deliver a confirmed lesson, platform policy violations, or technical or billing errors.
5.14 Exceptional Circumstances and Policy Abuse
Vocally may make exceptions to these Terms in cases of emergency, serious illness, safety concerns, natural disasters, serious technical failures, suspected fraud, or other truly exceptional circumstances. Vocally may request reasonable documentation before granting an exception.
Vocally may deny refunds, credits, rescheduling requests, or account access where a user abuses these Terms. Examples of abuse include repeated last-minute cancellations, false claims, initiating payment disputes without contacting support, refund manipulation, harassment of Tutors or support staff, or attempting to receive services without payment.
6. Code of Conduct
You agree to use the Platform lawfully and respectfully. Prohibited conduct includes, without limitation:
- Harassment, discrimination, abuse, spam, or fraudulent activity;
- Posting content that is unlawful, defamatory, obscene, or infringes third-party rights;
- Impersonating others or providing false information;
- Sexual, romantic, or exploitative conduct toward any user, including minors;
- Any attempt to circumvent these Terms, our payment system, or our booking process.
Violations may result in warnings, content removal, account suspension, or permanent termination, in our sole discretion.
6.1 Reviews and Ratings
A Student may review and rate a Tutor after completing a paid lesson with that Tutor. Trial lessons do not open reviews and never produce a rating for a Tutor, because a trial exists for the Student and the Tutor to establish whether they are a match rather than to assess teaching.
A Student may hold one review per Tutor and may update it while they continue learning together. Reviews must describe the Student's own experience. Vocally may remove a review that breaches section 6, and may remove or withhold reviews obtained through incentives, coercion, or misrepresentation.
7. Intellectual Property and User Content
All content, software, trademarks, and materials provided by Vocally Global on the Platform are owned by Vocally Global or its licensors and protected by copyright, trademark, and other applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.
User Content License. By posting, uploading, submitting, or otherwise making available any content on or through the Platform — including profile information, lesson materials, videos, chat messages, reviews, ratings, or other materials ("User Content") — you grant Vocally Global a worldwide, non-exclusive, royalty-free license to host, reproduce, distribute, display, and use such User Content as necessary to operate, improve, and support the Platform.
For marketing and promotional use of your public tutor profile content on Vocally's social media channels, Vocally will rely on your separate opt-in consent through your account settings. Vocally will not use your profile for paid advertising or third-party commercial purposes without separate explicit consent.
You retain ownership of your User Content subject to the license granted above. You represent and warrant that you own or have all necessary rights to grant the license above, and that your User Content does not infringe any third-party rights or applicable laws.
Students receive a limited, personal, non-commercial license to use lesson materials provided by Tutors solely for their own educational purposes.
8. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect your personal information. It is incorporated into and forms part of these Terms.
Vocally Global Inc. complies with applicable Canadian and Quebec privacy legislation, including Quebec's Act Respecting the Protection of Personal Information in the Private Sector (Law 25), Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), and Canada's Anti-Spam Legislation (CASL).
By using the Platform, you acknowledge that we collect, use, and disclose personal information as described in the Privacy Policy. Where required by applicable law, we will request your consent.
Your information may be processed outside your province or country of residence. Where required, we use contractual and other safeguards to protect personal information in accordance with applicable law.
9. Disclaimers and Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOCALLY GLOBAL INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM.
To the maximum extent permitted by applicable law, Vocally's total aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the platform fees received by Vocally in connection with your account during the twelve (12) months preceding the claim. This limitation does not apply where prohibited by applicable law.
Vocally Global is not responsible for the quality, legality, or accuracy of any lessons, User Content, or interactions between users. Disputes between Students and Tutors must be resolved directly between them, subject to Section 5 of these Terms.
10. Anti-Circumvention and Off-Platform Activity
To protect the integrity of our marketplace, you agree not to solicit, arrange, conduct, or facilitate lessons, sessions, payments, or any other commercial relationship outside the Platform with any Tutor or Student you were introduced to, matched with, or contacted through Vocally Global.
This prohibition includes exchanging personal contact information for the purpose of bypassing the Platform, recruiting users to competing services, or arranging private payments to avoid platform fees.
Violation of this section may result in immediate suspension or termination of your account, subject to any refund, credit, payout, or payment rights required by applicable law or applicable platform policies. Vocally Global reserves the right to pursue all available legal remedies for intentional circumvention, including recovery of platform fees that would have been earned on bypassed transactions, plus reasonable legal costs.
11. Termination
We may suspend or terminate your account or access to the Platform at any time, with or without cause, including for violation of these Terms. You may request deletion of your account by contacting support@vocallyglobal.com.
Upon termination: (i) all rights and licenses granted to you under these Terms terminate immediately; (ii) the licenses you granted to Vocally Global for operational purposes survive as necessary to operate and maintain the Platform; and (iii) any outstanding payment obligations survive. Termination does not affect any refund, credit, payout, or payment obligation that must be honoured under Section 5 of these Terms, the Tutor Agreement & Policy, or applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Vocally Global Inc., its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or connected with: (i) your access to or use of the Platform; (ii) your User Content; (iii) your breach of these Terms; (iv) your interactions or disputes with other users; or (v) your violation of any law or third-party rights.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be submitted to the courts of competent jurisdiction located in the Province of Quebec, Canada.
Nothing in this section affects any mandatory consumer protection rights you may have under applicable law.
14. General Provisions
Severability: If any provision is held invalid or unenforceable, the remainder shall continue in full force and effect.
No Waiver: Failure to enforce any right does not constitute a waiver of that right.
Entire Agreement: These Terms, together with the Privacy Policy and, where applicable, the Tutor Agreement & Policy, constitute the entire agreement between you and Vocally Global regarding your use of the Platform.
Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
No Agency: No agency, partnership, joint venture, or employment relationship is created by these Terms.
